This Agreement governs your use of and access to the products, materials, and services provided through or on the QuantVPS website (the "Website"), including any Company-provided computer or mobile software or application (collectively, the "Services").

1. Acceptance of this Agreement

1.1. Methods of Acceptance

You accept and agree to be bound by this Agreement through any of the following actions:

  • Accessing or using any QuantVPS Services
  • Clicking "accept," "agree," or similar buttons when prompted
  • Creating an account on our website or platform
  • Making a payment for any Services
  • Downloading or using any QuantVPS software or applications

1.2. Entity Representation and Authority

If you are accepting this Agreement on behalf of an entity or organization:

  • You represent and warrant that you have the legal authority to bind that entity
  • You confirm that you are an authorized representative with signatory power
  • The entity agrees to be bound by all terms and conditions herein
  • You personally guarantee compliance with this Agreement by all entity users

1.3. Age and Legal Capacity Requirements

To use QuantVPS Services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher
  • Have the legal capacity to enter into binding contracts
  • Provide valid government-issued identification if requested for verification
  • Not be legally prohibited from receiving the Services under applicable law

1.4. Geographic and Sanctions Restrictions

You may not access or use the Services if you are:

  • Physically located in a restricted jurisdiction
  • On any sanctions, restricted, or prohibited list of the United States, European Union, or United Kingdom
  • Specifically located in: Afghanistan, Belarus, Central African Republic, Crimea, Cuba, Eritrea, Iran, Iraq, Lebanon, Libya, Myanmar, North Korea, Somalia, Syria, Sudan, or the Donetsk and Luhansk regions of Ukraine
  • Subject to export restrictions or trade embargoes

1.5. Consequences of Non-Compliance

If you do not meet all eligibility requirements:

  • You may not access or use any Services
  • You must immediately discontinue all use of the Services
  • Any existing accounts or services may be terminated without notice
  • You remain liable for any charges incurred before termination

2. Changes to this Agreement

2.1. Right to Modify Terms

QuantVPS reserves the right to modify, update, or replace any part of this Agreement at any time in its sole discretion. Changes may include but are not limited to:

  • Updates to pricing, billing terms, or service features
  • Modifications to policies, procedures, or operational requirements
  • Changes required by law, regulation, or industry standards
  • Improvements to security, privacy, or user protection measures

2.2. Notification and Publication of Changes

When this Agreement is modified:

  • The updated Agreement will be posted immediately on our website at /legal/terms
  • The "Updated" date at the top of this Agreement will reflect the revision date
  • For material changes, we may provide additional notice through:
    • Email notification to your registered email address
    • Dashboard notifications when you log into your account
    • Prominent website announcements

2.3. Effective Date and Implementation

All changes to this Agreement:

  • Become effective immediately upon posting to our website
  • Apply to all future use of the Services from the effective date forward
  • Do not retroactively affect Services already paid for and delivered
  • May require additional acceptance for certain material changes

2.4. Customer Responsibility for Monitoring Changes

You are solely responsible for:

  • Monitoring your email and account dashboard for change notifications

2.5. Continued Use Constitutes Acceptance

  • Your understanding of the changes and their implications
  • Your agreement to be bound by the modified terms
  • Your waiver of any objection to the changes

2.6. Disagreement with Changes

If you disagree with any changes to this Agreement:

  • You must discontinue use of all Services immediately
  • You may cancel your Services in accordance with Section 12 (Cancellations)
  • Continued use after changes constitutes acceptance regardless of any stated disagreement
  • No refunds will be provided for disagreement with terms changes

3. Access to the Services

3.1. Service Availability and Uptime

QuantVPS strives to provide reliable service access but makes no guarantees regarding:

  • Continuous, uninterrupted, or error-free service availability
  • Specific uptime percentages or service level agreements unless separately contracted
  • Performance during peak usage periods or high-demand scenarios
  • Access during maintenance, upgrades, or emergency repairs

3.2. Planned Maintenance and Downtime

QuantVPS may perform scheduled maintenance that may temporarily interrupt service access:

  • Routine maintenance may occur without advance notice for brief periods
  • Major maintenance will typically be scheduled during low-usage periods when possible
  • Emergency maintenance may be performed immediately without notice when required for security or stability
  • No service credits or refunds are provided for planned or emergency maintenance downtime

3.3. Service Modifications and Evolution

QuantVPS reserves the right to modify the Services at any time, including:

  • Adding, removing, or modifying features and functionality
  • Updating software, hardware, or infrastructure components
  • Changing service specifications, configurations, or operational parameters
  • Implementing new security measures or compliance requirements
  • Discontinuing legacy services or unsupported configurations

3.4. Service Discontinuation

QuantVPS may discontinue any Service, in whole or in part, at any time:

  • Immediate discontinuation may occur for security, legal, or operational reasons
  • Non-immediate discontinuation will typically provide reasonable notice when commercially feasible
  • No refunds or compensation are provided for discontinued Services beyond your current billing period
  • Data migration or export assistance is not guaranteed for discontinued Services

3.5. Access Requirements and Dependencies

Your access to Services depends on:

  • Maintaining an active, paid account in good standing
  • Complying with all terms of this Agreement and our Acceptable Use Policy
  • Using compatible systems, software, and internet connections
  • Meeting any technical requirements specified for individual Services

3.6. Geographic and Technical Limitations

Service access may be limited by:

  • Geographic location and local internet infrastructure
  • Regulatory requirements or legal restrictions in your jurisdiction
  • Technical compatibility with your systems and network configuration
  • Capacity limitations during high-demand periods

3.7. Disclaimer of Service Availability

You acknowledge and agree that:

  • Service interruptions may occur for various reasons beyond our control
  • QuantVPS has no liability for losses resulting from service unavailability
  • Alternative arrangements or backup solutions are your sole responsibility
  • Business continuity planning must account for potential service interruptions

4. Website Usage and Content Protection

4.1. Permitted Website Use

You may use the QuantVPS website (www.quantvps.com) for:

  • Viewing information about our Services and company
  • Creating an account and managing your Services
  • Accessing customer support and documentation
  • Legitimate business evaluation and comparison purposes

4.2. Prohibited Website Activities

You may not use our website to:

  • Attempt unauthorized access to any systems, accounts, or data
  • Transmit viruses, malware, or other harmful code
  • Conduct automated data scraping, crawling, or harvesting without permission
  • Reverse engineer, decompile, or attempt to derive source code

Without our prior written consent, you may not:

  • Create derivative works based on our intellectual property

  • Promptly notifying QuantVPS of any suspected unauthorized access or security breaches
  • Monitoring all account activity and reporting any suspicious or unauthorized actions
  • Ensuring that only authorized personnel have access to your account and services
  • Regularly updating contact information and billing details

5.2. Server Security and Configuration

QuantVPS provides standard operating system security defaults but does not implement additional security measures. You are responsible for:

  • Changing default passwords immediately upon service activation
  • Configuring firewalls and access controls appropriate for your use case
  • Installing and maintaining current security patches and updates
  • Implementing appropriate user access controls and permissions

5.2.2. Ongoing Security Maintenance

  • Regularly monitoring server logs and system activity
  • Maintaining current antivirus and anti-malware protection
  • Implementing appropriate backup and disaster recovery procedures
  • Securing all applications and services running on your server

5.2.3. Compromised Server Response

  • Immediately addressing any security breaches or compromises
  • Cooperating with QuantVPS abuse investigations and remediation efforts
  • Taking prompt action to prevent further damage or policy violations
  • Accepting responsibility for all consequences of security failures

5.3. Compliance with Policies and Legal Requirements

You agree to:

  • Comply fully with our Acceptable Use Policy (AUP), available at /legal/aup
  • Follow all applicable local, state, federal, and international laws and regulations
  • Respect intellectual property rights and avoid copyright infringement
  • Obtain necessary licenses for all software and content used on your services
  • Comply with data protection and privacy laws applicable to your activities

5.4. Prohibited Activities and Content

You may not use QuantVPS services for:

5.4.1. Illegal or Harmful Activities

  • Any illegal activities under applicable law
  • Fraud, identity theft, or financial crimes
  • Hacking, cracking, or unauthorized system access
  • Distribution of malware, viruses, or other harmful code
  • Facilitating or supporting terrorism or violent extremism

5.4.2. Abusive Network Behavior

  • Spam, bulk email, or unsolicited commercial communications
  • Denial of service attacks or network flooding
  • Port scanning, vulnerability testing, or network reconnaissance
  • Bypassing or circumventing network security measures
  • Interfering with other users' services or legitimate network traffic

5.4.3. Inappropriate Content

  • Illegal pornography or exploitation of minors
  • Hate speech, harassment, or incitement to violence
  • Defamatory, libelous, or privacy-violating content
  • Content that violates intellectual property rights
  • Gambling or illegal gaming activities (where prohibited)

5.5. Resource Usage and Performance

You are responsible for:

  • Monitoring and managing your resource consumption within allocated limits
  • Optimizing applications and processes to prevent excessive resource usage
  • Responding promptly to resource overage notifications
  • Upgrading services when additional resources are needed
  • Ensuring your usage does not negatively impact other customers

5.6. Data Management and Backup

You acknowledge and accept full responsibility for:

  • Creating and maintaining adequate backups of all important data
  • Testing backup integrity and restoration procedures regularly
  • Ensuring data recovery capabilities meet your business requirements
  • Understanding that QuantVPS is not responsible for data loss or corruption
  • Complying with applicable data retention and destruction requirements

5.7. Financial Responsibilities

You agree to:

  • Pay all charges and fees in accordance with our billing terms
  • Maintain current and valid payment information
  • Promptly address any billing disputes or payment issues
  • Accept responsibility for all usage charges incurred under your account
  • Pay any additional fees for policy violations or administrative actions

5.8. Communication and Support

You agree to:

  • Provide accurate and complete information in all communications
  • Respond promptly to requests for information or action from QuantVPS
  • Use support channels appropriately and professionally
  • Accept that support is limited to hardware and infrastructure issues
  • Seek appropriate third-party assistance for software configuration and troubleshooting

5.9. Acceptance of Terms and Binding Arbitration

By using QuantVPS services, you explicitly agree to:

  • Transact with us electronically and accept electronic communications
  • Comply with all terms of this Agreement and our Acceptable Use Policy
  • Accept binding arbitration for dispute resolution as detailed in Section 15
  • Accept all Services "AS IS" without warranties as detailed in Section 14
  • Hold QuantVPS harmless for losses resulting from your use of the Services

6. Company Responsibilities

6.1. Service Delivery Commitments

QuantVPS agrees to provide the following services, paid for in advance by the client:

  • Hardware infrastructure and network connectivity as specified in your service plan
  • Standard operating system installation and basic configuration
  • Network monitoring and basic hardware maintenance
  • Customer support for infrastructure-related issues during business hours
  • Data center security and environmental controls

6.2. Service Standards and Limitations

QuantVPS commits to:

  • Providing services that meet the specifications outlined in your service agreement
  • Maintaining reasonable security measures for our infrastructure and data centers
  • Responding to critical infrastructure issues in a commercially reasonable timeframe
  • Maintaining industry-standard data center facilities and network connectivity

QuantVPS does not guarantee:

  • Specific uptime percentages unless separately contracted
  • Software support, configuration, or troubleshooting
  • Data backup, recovery, or restoration services
  • Protection against all forms of service interruption or data loss

6.3. Right to Refuse or Terminate Services

QuantVPS reserves the right to:

  • Refuse services to any potential client at our sole discretion
  • Deny renewal of services to any existing client
  • Terminate services for violations of this Agreement or our AUP
  • Suspend services pending investigation of policy violations or payment issues
  • Modify service specifications to meet operational or legal requirements

6.4. Compliance Requirements

All services are subject to:

  • Complete compliance with our Acceptable Use Policy (AUP)
  • Full adherence to these Terms of Service
  • Payment of all fees and charges when due
  • Cooperation with any abuse investigations or remediation efforts
  • Compliance with applicable laws and regulations

6.5. Infrastructure and Maintenance

QuantVPS maintains:

  • Physical security at our data center facilities
  • Network infrastructure and connectivity equipment
  • Environmental controls (power, cooling, monitoring)
  • Hardware replacement and basic maintenance services
  • Network-level security measures and monitoring

6.6. Limitation of Company Obligations

QuantVPS obligations are limited to:

  • Infrastructure and hardware-related support only
  • Services explicitly outlined in your service agreement
  • Resolution of issues within our direct control and responsibility
  • Compliance with our published policies and procedures

QuantVPS is not responsible for:

  • Client software configuration, maintenance, or support
  • Data loss, corruption, or recovery
  • Service interruptions caused by factors beyond our reasonable control
  • Security breaches resulting from client configuration or software vulnerabilities

7. Pricing Changes and AUP Modifications

7.1. General Terms Changes

For changes to this Terms of Service Agreement, refer to Section 2 (Changes to this Agreement) which governs all modifications to these terms.

7.2. Acceptable Use Policy Changes

Our Acceptable Use Policy (AUP) may be modified at any time:

  • Changes become effective immediately upon posting to our website
  • No advance notice is required for AUP modifications
  • Continued use of services constitutes acceptance of AUP changes
  • Violations of updated AUP provisions may result in immediate service termination
  • Clients are responsible for monitoring AUP changes and ensuring compliance

7.3. Pricing and Rate Changes

QuantVPS reserves the right to modify pricing and rates based on:

  • Hardware availability and market costs
  • Data center and infrastructure expenses
  • Regulatory requirements and compliance costs
  • Network connectivity and bandwidth pricing
  • General market conditions and competitive factors

7.3.2. Notification of Price Increases

For price increases affecting existing services:

  • Clients will be notified at least 30 days prior to the billing renewal date when increases take effect
  • Notification will be sent via email to your registered email address
  • Dashboard notifications will also be displayed when you log into your account
  • The specific new pricing and effective date will be clearly communicated

7.3.3. Price Decrease Implementation

Price decreases may be implemented:

  • Immediately without advance notice
  • Automatically on your next billing cycle
  • With credit applied to your account balance if applicable

7.4. Client Response to Pricing Changes

Upon notification of price increases, you may:

  • Continue service at the new pricing by taking no action
  • Cancel your service before the effective date to avoid increased charges
  • Downgrade to a lower-cost service plan if available
  • Contact our billing department to discuss available options

7.5. No Grounds for Early Termination

Price increases or policy changes do not constitute grounds for:

  • Early contract termination without following standard cancellation procedures
  • Refusal to pay outstanding balances or current charges
  • Disputing charges that were properly implemented after notification
  • Claiming breach of contract or seeking damages

7.6. Lock-in Pricing Limitations

Unless explicitly contracted in writing:

  • No pricing is guaranteed for any specific period
  • Initial promotional rates may change at renewal
  • Annual plans are subject to price changes at renewal
  • Market-rate adjustments may occur during any billing period

7.7. Service Modifications Accompanying Price Changes

QuantVPS may modify service specifications when implementing price changes:

  • Hardware or software upgrades may accompany price increases
  • Service features may be added, removed, or modified
  • Resource allocations may be adjusted to reflect new pricing
  • Legacy services may be discontinued and migrated to new offerings

8. Non-Payment and Service Interruption

8.1. Payment Processing and Failure

When automatic payment processing fails:

  • QuantVPS will attempt to process payment multiple times over a 7-day period
  • You will receive email notifications of failed payment attempts
  • Dashboard notifications will alert you to payment issues when you log in
  • You are responsible for updating payment information promptly
  • Manual payment options may be available through your customer dashboard

8.2. Service Suspension for Non-Payment

If payment remains unsuccessful after the retry period:

8.2.1. Suspension Timeline

  • Services will be suspended 7 days after the first failed payment attempt
  • You will receive final notice before suspension occurs
  • Suspended services are not accessible but data remains intact initially
  • No new services or features can be activated during suspension

8.2.2. Late Fees and Penalties

  • A 10% late fee may be applied to overdue balances
  • Late fees are calculated based on the total amount due
  • Additional administrative fees may apply for manual payment processing
  • Repeated payment failures may result in additional penalties

8.3. Data Availability During Suspension

While your service is suspended for non-payment:

  • Your data remains on our servers but is not accessible to you
  • No backups, modifications, or access to the service is permitted
  • QuantVPS does not guarantee data integrity during suspension periods
  • Emergency data access may be available for additional fees at QuantVPS discretion

8.4. Service Restoration Process

To restore suspended services:

  • All outstanding balances must be paid in full, including late fees
  • Payment method information must be current and valid
  • Account must be brought into compliance with all policies
  • Restoration typically occurs within 24 hours of payment clearance
  • Additional verification or security deposits may be required

8.5. Data Destruction Timeline

8.5.1. Automatic Data Destruction

  • All client data will be permanently destroyed 10 days after suspension begins
  • Data destruction applies to suspended services for non-payment or chargebacks
  • No exceptions will be made to this timeline regardless of circumstances
  • Data destruction is immediate and irreversible

8.5.2. Chargeback Consequences

Services affected by chargebacks are subject to:

  • Immediate suspension pending chargeback resolution
  • 10-day data destruction timeline starting from chargeback initiation
  • $200 administrative fee in addition to original disputed amount
  • Potential termination of all services associated with the account

8.6. Customer Responsibilities During Non-Payment

You are responsible for:

  • Monitoring payment method validity and expiration dates
  • Updating billing information before payment failures occur
  • Maintaining adequate backup copies of all important data
  • Understanding that QuantVPS is not responsible for data loss during suspension
  • Contacting billing support promptly if payment issues arise

8.7. Alternative Payment Arrangements

In exceptional circumstances, QuantVPS may consider:

  • Payment plan arrangements for large outstanding balances
  • Temporary service modifications to reduce costs
  • Data export assistance before suspension (fees may apply)
  • Extended payment deadlines for verified financial hardship cases

8.8. No Liability for Service Interruption

QuantVPS is not liable for:

  • Business losses resulting from service suspension
  • Data loss or corruption during suspension periods
  • Costs associated with service restoration or data recovery
  • Consequences of automatic payment failures
  • Third-party impacts of suspended services

8.9. Account Termination

Accounts may be permanently terminated for:

  • Repeated payment failures or pattern of late payments
  • Failure to resolve outstanding balances within 30 days of suspension
  • Chargeback disputes deemed invalid by QuantVPS
  • Violation of payment terms or fraudulent payment activities
  • Failure to maintain current and valid payment information

9. Billing Terms

9.1. Payment Processing and Security

QuantVPS uses Stripe, a leading payment processor, to handle all billing and payment processing. This means:

  • QuantVPS does not store your payment information - all payment details are securely encrypted and stored by Stripe
  • Your payment method is automatically charged according to your selected billing frequency
  • You authorize automatic recurring billing when you start your service

9.2. Billing Cycles and Timing

To ensure consistency across all systems and accurate billing, QuantVPS uses calendar-based billing cycles that align with standard monthly and yearly periods:

Example of Monthly Billing:

  • If you start service on January 15th
  • Your next bill will be February 15th
  • The following bill will be March 15th
  • And so on, billing on the 15th of each month

Note for Month-End Dates:

  • If you start on the 31st, you'll be billed on the last day of each month (28th/29th/30th/31st depending on the month)
  • For example: Starting January 31st → February 28th → March 31st → April 30th

9.3. How to Cancel Your Service

Important: You must cancel before your next billing date to avoid being charged for another billing period.

Step-by-step cancellation process:

  1. Log into your dashboard at quantvps.com
  2. Go to the Billing tab - your next billing date is clearly displayed here
  3. Click the cancel button for the service you want to cancel
  4. Confirm your cancellation through the portal

Cancellation Example:

  • Current billing date: March 15th
  • Next billing date: April 15th
  • Cancel by: April 14th (any time before April 15th)
  • What happens: You won't be charged on April 15th, and your service will remain active until April 15th

9.4. Automatic Billing Authorization

When you use QuantVPS services, you automatically agree to:

  • Recurring charges - Your payment method will be charged automatically on each billing date
  • All applicable fees - This includes your service fees, any overages, and administrative charges
  • Continued billing - Charges will continue until you cancel through your user portal
  • Stripe processing - All payments are processed securely through Stripe's payment system

What this means for you:

  • No need to manually pay each month/year
  • Service continues uninterrupted as long as payment succeeds
  • You remain in control - cancel anytime before your next billing date

10. Refunds and Charge-Back Policy

10.1. No Refund Policy

QuantVPS operates under a strict no-refund policy:

10.1.1. Services Not Eligible for Refunds

  • All services rendered by QuantVPS regardless of usage level or duration
  • Partial month or partial billing period services
  • Unused portions of prepaid services or billing cycles
  • Services terminated for policy violations or non-compliance
  • Setup fees, administrative fees, and one-time charges

10.1.2. Prepayments and Account Credits

  • Prepayments for future services are non-refundable
  • Account credits cannot be refunded or converted to cash
  • Credits cannot be transferred to other accounts or third parties
  • Promotional credits and discounts are non-refundable
  • Unused credits expire according to their original terms

10.2. Charge Dispute Procedures

10.2.1. Direct Dispute Process

Before initiating any chargeback through your financial institution:

  • All charge disputes must be reported directly to QuantVPS first
  • Disputes must be submitted within 30 days of the charge date
  • Include detailed information about the disputed charge and reason
  • QuantVPS will investigate and respond within 5 business days
  • Documentation supporting the dispute may be requested

10.2.2. Required Information for Disputes

When reporting a charge dispute, provide:

  • Account information and customer identification
  • Specific transaction details (date, amount, description)

12.2. Billing Cycle Finality

Once a billing cycle has renewed and payment has been processed:

  • No refunds will be issued as resources have already been allocated for that period
  • The service will remain active until the end of the paid billing cycle
  • All data will be destroyed after the cancellation effective date (end of paid period)

  • Does not guarantee trading performance, profitability, or execution quality
  • Does not provide investment, financial, or trading advice of any kind

Trading execution and slippage are affected by numerous factors outside QuantVPS's control, including but not limited to:

  • Market conditions, volatility, and liquidity
  • Order size and type
  • Broker or exchange execution policies and infrastructure
  • Network conditions between our data centers and broker/exchange servers
  • Software configuration on client servers
  • Trading platform performance and settings

While hosting trading infrastructure closer to brokers and exchanges may help reduce latency, you acknowledge and agree that:

  • Slippage is an inherent risk in trading that cannot be eliminated
  • Lower latency does not guarantee better fills or execution prices
  • QuantVPS is not responsible for any slippage experienced during trading
  • Estimates or calculations of potential slippage savings are for informational purposes only and are not guarantees

15. Dispute Resolution: Binding Arbitration

Any party with a dispute related to this Agreement or the Services shall first send notice to the Company by electronic mail to support@quantvps.com and allow 15 days for a response.

If a compromise cannot be reached through direct discussions, the parties agree to first attempt to settle the dispute by mediation administered by the American Arbitration Association (AAA) under its Commercial Mediation Procedures before resorting to arbitration.

If mediation is unsuccessful, any unresolved controversy or claim arising out of or relating to this Agreement, including the determination of the scope or applicability of this agreement to arbitrate, shall be settled by binding arbitration administered by the AAA in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Miami-Dade County, Florida.

Claims shall be heard by a single arbitrator, unless the claim amount exceeds $50,000, in which case the dispute shall be heard by a panel of three arbitrators. The arbitration shall be governed by the laws of the State of Florida. The arbitrators will have no authority to award punitive or other damages not measured by the prevailing party's actual damages, except as may be required by statute. The arbitrator(s) shall not award consequential or incidental damages in any arbitration initiated under this section. The award of the arbitrators shall be accompanied by a reasoned opinion. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties.

By agreeing to these Terms of Service, you are:

  1. Waiving your right to have any dispute heard in court before a judge or jury, or to participate in a class action or representative proceeding.
  2. Agreeing that any dispute will be resolved through mediation and, if necessary, binding arbitration in accordance with this clause.

When accessing third-party links, the third party's terms and policies apply, not these Terms.

17. Support

QuantVPS provides hardware support related to each direct client's service functioning. QuantVPS does not offer software support of any kind. QuantVPS does not provide software support/troubleshooting for the software items chosen from the order form. QuantVPS only ensures the correct default installation of any software item chosen from the order form, and in no way assumes liability for the configuration of any of the installed software.

QuantVPS is not responsible for any downtime associated with the incorrect configuration of operating system kernels or any software, whether installed by QuantVPS or the client. QuantVPS may provide enhanced software support (including kernel configuration) for an additional fee. Please contact sales or support for enhanced support pricing.

Each client is eligible for one (1) complimentary operating system (OS) reload per billing cycle; each additional OS reload is $35 per reload. Installation of an unsupported OS is subject to the prior approval of QuantVPS and to a $35 fee.

QuantVPS does not provide any type of support to the clients of our clients (third party clients). QuantVPS will only provide support directly to clients of QuantVPS.

18. Abuse/Spam/Bulk Email Policy

QuantVPS reserves the right to deny mail delivery from any servers hosted on our network if they are believed to be involved in SPAM or SPIM activities. This includes spam support services such as DNS or spamvertised web sites.

Our abuse department will locate abusive servers based on public blacklist monitors, abuse reporting from external networks, and other means. If our abuse department receives a report or otherwise becomes aware of abuse-related activities active on our network, we will identify the server the abuse was initially sent from (via IP and in some cases by domain) and create a ticket on behalf of the user who occupies the server with information regarding the abuse such as logs describing the abuse and an explanation of what abuse took place.

The following actions will be taken on a case-by-case basis:

  • An abuse ticket serves as notification that our abuse department has received reports of abuse originating from the server. We require a client response to ALL abuse tickets within 24 hours of the ticket being opened. Typically, no service will be suspended or filtered within the first 24 hours of an abuse ticket being opened. If a response is not received within 24 hours, or the server is determined to be abusive (or likely to be abusive in the case of spam blacklistings) after the ticket is opened, our abuse technicians may filter or disable ports or IPs assigned to the server temporarily to prevent further abuse until a response is received.
  • If a response has not been received to an abuse ticket within 7 days of being opened, the server is eligible for suspension and may be completely disabled until we receive a response.
  • Habitual neglect of abuse occurring on a client's server may lead to service termination or longer-term port filters as some blacklistings can take several weeks to time out or be removed.

QuantVPS reserves the right to refuse services to any client whose account(s) have been fined or terminated for abuse-related activities. If an IP range or IP address has been blacklisted as a result of excessive abuse reports, QuantVPS reserves the right to issue a fine of $200 and immediately terminate the service.

19. Compromised Servers Issued Abuse Notifications

If our abuse department suspects that abuse reports associated with a client's server are a result of the server's security being compromised, our abuse department will offer the following options:

  • At the discretion of our abuse department, we will typically offer the ability to log in to the server and remedy the security compromise while leaving the abusive traffic filtered.
  • Offer an Operating System reinstallation, setting the configuration back to the original state it was provisioned in.
  • If Operating System reinstallation is not accepted as an option, QuantVPS may offer to manually retrieve/repair the files on the server, at a fee to be assessed and paid prior to any work being done.

Habitual security compromises that result in abusive traffic being transmitted or received from the server may result in service termination.

If a client wishes to dispute any abuse reports, or any fine assessed in connection with abuse reports or blacklistings, the client must provide QuantVPS with an explanation via QuantVPS ticketing system within 10 days of the abuse ticket being opened.

20. DMCA Complaints

QuantVPS handles all Digital Millennium Copyright Act (DMCA) complaints seriously and will thoroughly investigate each complaint received. QuantVPS reserves the right to pursue civil remedies for any costs associated with the investigation of a substantiated policy violation.

The following actions will be taken on a case-by-case basis:

  • A ticket is opened as a warning, providing 24 hours to resolve the situation.
  • After 24 hours with no client response, connection to the IP address from the DMCA complaint will be disabled at the network level. At this time, QuantVPS reserves the right to assess a $25 fine.
  • After 72 hours with no resolution, services on the server in question will be suspended.
  • After 7 days of being suspended and the issue not having been resolved, services on the server in question will be canceled and an Abuse Charge of $200 will be placed on the account. All client data will be destroyed immediately after the cancellation date.

Users who violate this policy and fail to resolve the situation within 24 hours agree that in addition to these administrative penalties, they will pay Research Fees not to exceed $50 per hour that QuantVPS personnel must spend to investigate the matter, to be charged only if claims are found to be valid.

21. Bandwidth Usage/Overages

Clients agree to pay any and all bandwidth overage charges accrued on their account from the previous billing cycle. Bandwidth overage charges are billed per gigabyte at a rate of $0.25 (twenty-five cents) over the allotted bandwidth on the service.

QuantVPS reserves the right to suspend any account which does not pay bandwidth overage charges within 15 days. QuantVPS is not responsible for spikes in bandwidth that are caused on a client's service for any reason. Client assumes liability for all bandwidth to and from their services.

If issued an expected to exceed bandwidth notification, clients are required to make payment arrangements within 24 hours of that notification to prevent possible service interruption until adequate arrangements are made. These arrangements may include being required to pro-actively upgrade bandwidth.

22. Payment Verification

Clients agree to submit to identity verification measures, designed for both the security of the client as well as the security of QuantVPS. The identity verification measures may include the faxing of two forms of government issued identification to QuantVPS, as well as a front and back copy of the credit card used for payment, as well as a copy of a utility bill with the billing address. In certain circumstances additional identity verification may be required, in addition to the previously listed forms.

23. Publicity

QuantVPS keeps all client information private and will not publicly disclose that they are providing services to the client unless permission is received on a case-by-case basis.

QuantVPS reserves the right to use client quotes for promotional uses. Such quotes will be anonymous unless the client agrees to disclosure of their name.

All communications from QuantVPS and the client are strictly confidential and for the intended use of the addressee only. Any disclosure, use or copying of the information by anyone other than the intended recipient is prohibited and you agree to be held liable for damages if you violate this agreement, forward the information, post it or allow it to be posted online in public or private forums or venues.

24. Electronic Notifications

Your use of the Services constitutes your electronic signature and consent to receive electronic communications. We will send notices to the email address you provided during registration. Notices are effective upon sending, regardless of when or whether you read them.

Requirements for electronic communications:

  • Personal computer with internet connection.
  • Windows or MacOS operating system.
  • Web browser.
  • Printer (for hardcopy notices).

You may withdraw consent for electronic communications by discontinuing service use. You can access these terms anytime through our website. All electronic agreements are legally binding.

25. Entire Agreement

This contract and any supplemental terms, policies, rules and guidelines posted on our website constitute the entire agreement between you and us and supersede all previous or contemporaneous written or oral agreements.

If any part of these Terms of Service is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.
